1. Acceptance of Terms

By accessing or using Productiwity ("the Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you and Productiwity.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Productiwity is an AI-powered workspace platform that provides:

• AI chat assistants powered by various large language models
• File storage and document management with a knowledge base
• Semantic search across your uploaded documents
• Integrations with third-party services (Gmail, Google Drive, Slack, and others)
• AI-powered tools that can execute actions on your behalf

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. User Accounts

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information during registration and to keep this information up to date.

You must notify us immediately of any unauthorized use of your account. We are not liable for any losses arising from unauthorized access to your account.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Generate, store, or distribute harmful, illegal, or abusive content
• Attempt to bypass security measures, rate limits, or access controls
• Interfere with or disrupt the Service or its infrastructure
• Use automated systems to scrape, extract, or misuse the Service
• Impersonate another person or entity
• Upload malicious files, viruses, or harmful code

We reserve the right to suspend or terminate accounts that violate these terms.

5. Intellectual Property

You retain ownership of all content you upload, create, or input into the Service ("Your Content"). By using the Service, you grant us a limited license to process, store, and display Your Content solely to provide the Service to you.

The Service itself, including its design, code, branding, and documentation, is the intellectual property of Productiwity and is protected by applicable intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.

6. AI-Generated Content

The Service uses third-party AI models to generate responses and perform actions. AI-generated content is provided "as is" without any guarantees of accuracy, completeness, or reliability. You are solely responsible for reviewing and verifying any AI-generated output before relying on it.

Productiwity does not guarantee that AI responses will be free from errors, biases, or inaccuracies. You should not use AI-generated content as a substitute for professional advice in areas such as legal, medical, financial, or other specialized domains.

7. Third-Party Integrations

The Service allows you to connect third-party accounts (such as Google, Slack, and others) through OAuth. When you connect a third-party service, you authorize Productiwity to access and interact with that service on your behalf, within the scope of permissions you approve.

You are responsible for understanding and managing the permissions you grant. Productiwity is not liable for actions taken on third-party services at your direction through the AI assistant. Third-party services are governed by their own terms and privacy policies.

8. Payment and Billing

Certain features of the Service require a paid subscription or credit balance. Payments are processed through Dodo Payments. By subscribing or purchasing credits, you agree to pay all applicable fees and authorize recurring charges as applicable.

Fees are non-refundable except where required by law or as specified in our refund policy. We may change pricing with reasonable notice. Continued use of paid features after a price change constitutes acceptance of the new pricing.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

10. Limitation of Liability

To the maximum extent permitted by law, Productiwity and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of or inability to use the Service.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your access to the Service at our discretion if we believe you have violated these Terms or for any other reason with reasonable notice.

Upon termination, your right to use the Service ceases immediately. We may retain your data for a reasonable period as required by law or legitimate business purposes, after which it will be deleted.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Effective" date above. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or your use of the Service shall be resolved through good-faith negotiation. If a resolution cannot be reached, disputes shall be submitted to binding arbitration or the courts of competent jurisdiction.
